WEB SITE DESIGN – TERMS AND CONDITIONS The use of any of Web Ace Inc. services is taken by Web Ace Inc. to be acceptance of our Terms and Conditions as set out herewith. This contract is entered into under the Province of Alberta Law and any disputes between the parties will be treated under such Law. • The client agrees that they shall not hold Web Ace Inc liable for any losses (including loss of projected profits), cost of claims, caused by website error or omissions, or by failure of certain material to appear on the internet on a given date. This includes loss of data resulting from delays and/or service interruptions and that malfunction of equipment including any agents, free lance programmers or associated companies or third party delays including domain names, FTP and web hosting or photographs/graphics. A project will be deemed to be complete even if the above are applicable. • The client will be responsible for the content of their pages, including obtaining the legal permission for any works they include and ensuring that the content of these pages do not violate Canada and International Law. The client is also responsible for all text, images and logos contained in their site. The client agrees to defend Web Ace Inc and its subcontractors from any claim or suit arising from the use of such elements furnished by the client. • The client will be held responsible for and accepts responsibility for any defamatory, confidential, secret and other proprietary material available via it’s page(s) • Web Ace Inc. reserves the right not to accept projects that promote racism, pornography or anything that is of objectionable contents and remove material deemed inappropriate from your webpages without prior notice. • A minimum deposit of 50% is required prior to commencement of any web site build and should be paid with 7 days. • The balance of the project is due on completion and should be paid within 7 days, however after 6 months from commencement of the project the outstanding balance is due even if the site is not completed due to delays by the customer. • Completion means the web site, excluding any bank integration which may be out of the control of Web Ace Inc., upgrading the site to a third party site, domain name problems, user name password issue etc. • Any additional work will be invoiced at our standard rates • Web Ace Inc. will not take the client’s website offline in exchange for the client’s money back. • Late payment of invoices may incur interest and/or late payment charges. (See our billing policy at www.webace.ca/billing_policy.htm) • Cancellation of meetings for Web Ace Inc. to attend the client’s premises without 24 hours notice may incur a $50 charge which will be applied to the final invoice. • Should the client wish to cancel or terminate a contract for a new web site the following charges will apply o 50% deposit for a total project o All expenses incurred o All costs associated with the project o To cancel a project the client must sent this in letter format using recorded delivery • A request to pause project development must be made in writing to Web Ace Inc. and include the signature of the authoritative client. The delay will not exceed a period of 30 days. • If the client accepts a discounted rate for website development with the understanding that hosting services will be provided by Web Ace Inc, the client understands that a minimum hosting period of 12 months must be completed prior to cancellation or the full discounted portion of the site development will be due to Web Ace Inc. by the client at the time of cancellation. • Domain Names purchased on behalf of the client by Web Ace Inc. will be automatically renewed annually and billed at the current rate. • All customers who wish to pay hosting fees monthly are required to provide a valid credit card or post-dated Cheques for a term of one year. • Websites created by Web Ace Inc. must have the statement “Website designed by Web Ace Inc” placed at the bottom of the homepage. If the client does not wish to address Web Ace Inc credit within the individual’s web site an additional small fee will be included in the final payment cost.
